Welcome to Jinconnect Digital Agency. By accessing our website (jinconnect.com) and utilizing our digital marketing services, you agree to comply with and be bound by the following Terms of Service. Please read them carefully.

1. Acceptance of Terms

By engaging Jinconnect Digital Agency ("Agency," "we," "us," or "our") for services, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree to these terms, please do not use our services or website.

2. Scope of Services

Jinconnect provides digital marketing services, which may include but are not limited to:

• Google Ads and Meta Ads Management
• Search Engine Optimization (SEO)
• Funnel Building and Conversion Rate Optimization (CRO)
• Social Media Management

The specific services to be provided will be outlined in a separate Service Agreement or Proposal signed by both parties.

3. Client Responsibilities

To ensure the success of our campaigns, the Client agrees to:

• Provide timely access to necessary platforms (e.g., Google Ads, Meta Business Manager, Website CMS, Hosting).
• Supply requested assets (logos, images, brand guidelines, offers) in a prompt manner.
• Review and approve ad creatives, copy, and landing pages within the agreed-upon timeframes.
• Ensure that all provided content complies with applicable advertising policies and laws.

4. Payment Terms & Ad Spend

Our payment terms are structured to maintain transparency:

• Agency Fees: Retainer fees for our services are billed on a month-to-month basis unless otherwise specified. Invoices must be paid in full prior to the commencement of work for that billing cycle.
• Ad Spend: Advertising budgets are paid directly by the Client to the respective ad networks (Google, Meta, etc.). The Agency is not responsible for covering ad spend, and the Client must maintain a valid payment method on these platforms.
• Refunds: Due to the nature of digital marketing and the time invested in strategy and setup, agency fees are non-refundable.

5. Our 90-Day ROI Guarantee

We offer a conditional 90-Day ROI Guarantee. If we fail to hit the mutually agreed-upon key performance indicators (KPIs) within the first 90 days of the campaign going live, we agree to waive our agency retainer fee and work for free until those KPIs are met. This guarantee is strictly contingent upon the Client adhering to budget recommendations, lead follow-up protocols, and timely approvals as outlined in the formal Service Agreement.

6. Intellectual Property

Upon full payment of agency fees, the Client retains ownership of all final deliverables, including ad accounts, landing pages, and creatives produced specifically for their campaigns. However, Jinconnect retains the right to use aggregate, non-identifiable performance data and campaign results as case studies for our own marketing purposes.

7. Limitation of Liability

Jinconnect Digital Agency will execute marketing strategies to the best of our ability based on industry standards. However, we do not control third-party platforms (Google, Meta, etc.) and cannot be held liable for sudden algorithm changes, account suspensions, or platform outages. In no event shall Jinconnect be liable for any indirect, incidental, or consequential damages arising out of the services provided.

8. Term and Termination

We operate on month-to-month retainers without long-term lock-in contracts. Either party may terminate the agreement by providing a written notice of at least fifteen (15) days prior to the next billing cycle. Upon termination, all outstanding fees become immediately due.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
